Acceptance of Terms

By accessing or using any website, mobile-optimized page, application, or application programming interface (API) operated by GroGov LLC (“GroGov,” “we,” “us,” or “our”) (collectively, the “Platform”), you agree to be bound by these Terms of Use. If you do not agree to these Terms, you must not use the Platform. We may update these Terms at any time. Changes become effective upon posting. Your continued use of the Platform constitutes acceptance of the updated Terms. We encourage periodic review.

Description of Services

GroGov provides various technology and services that facilitate interactions between individuals, businesses, and government agencies. Our technology and services allow making payments and in some cases other various interactions, to government agencies. GroGov is a third-party service provider. We are not a government agency and do not determine obligations, balances, or filing requirements. Services may include:

Payment Processing: Secure online or point-of-sale interface for the purpose of making payments for government-related obligations (fees, fines, permits, licenses, court payments, restitution, etc.)

Electronic Filing: Submission of court documents and filings to government agencies, including eviction filings and other civil matters

GroGov relies on the data you provide to be complete and accurate, and can assume no liability for errors in this data provided. Service availability, features, and supported methods vary by jurisdiction and agency.

Privacy and your Personal Information

Non-discrimination

In accordance with Title VI of the Civil Rights Act of 1964, GroGov provides its services without discrimination based on race, color, or national origin. Any individual who believes they have been subjected to discrimination in the use of our services may contact our compliance team at support@grogov.us

Account information from third-party sites

Users may authorize GroGov to access and retrieve information maintained by third parties with whom they have existing relationships, accounts, or financial transactions (“Account Information”). GroGov may utilize one or more third-party service providers to facilitate access to such Account Information.

GroGov does not review or verify Account Information for any purpose, including accuracy, completeness, legality, or non-infringement. All Account Information is provided solely by the applicable third parties.

GroGov is not responsible for the products, services, or content offered by third-party websites or systems. In addition, GroGov cannot always anticipate or prevent technical or other issues that may result in delays, interruptions, or failures in retrieving Account Information.

Accordingly, GroGov does not guarantee the timeliness, accuracy, completeness, availability, or delivery of any Account Information, user data, communications, or system settings, and shall not be liable for any errors, omissions, delays, or interruptions related to such data.

Your Use of the Services

Your right to access and use the Platform and Services is personal to you and may not be assigned, transferred, or sublicensed to any other person or entity without prior written consent from GroGov.

You agree to use the Services only for lawful purposes and in compliance with all applicable laws and regulations. To enable GroGov to provide the Services effectively, you must provide information that is true, accurate, current, and complete. You agree not to misrepresent your identity or any information you submit, including registration details, payment information, or account-related data.

You are responsible for maintaining the accuracy and completeness of your information. Failure to do so may impact the functionality, accuracy, or availability of the Services.

By using the Platform, you represent and warrant that you are the legal owner of, or are otherwise authorized to provide, all information submitted to GroGov, including any account, payment, or third-party data necessary to facilitate your use of the Services.

The Services may be unavailable or interrupted from time to time due to a variety of reasons, including but not limited to system maintenance, updates, technical issues, third-party service disruptions, or other factors within or outside of GroGov’s control. GroGov reserves the right to modify, suspend, or discontinue any aspect of the Services at any time in its sole discretion.

To the fullest extent permitted by law, GroGov shall not be liable for any loss, cost, or damage arising from any interruption, delay, or unavailability of the Services, whether scheduled or unscheduled.

Your sole and exclusive remedy for any failure or non-performance of the Services shall be for GroGov to use commercially reasonable efforts to restore or correct the affected Services.

Use with Mobile Devices

The Services may be accessible through compatible mobile devices and require internet access, network connectivity, and/or certain software. You are solely responsible for obtaining and maintaining all such requirements, including any necessary hardware, software, internet service, and wireless connectivity, as well as any associated fees charged by your mobile device or telecommunications provider.

You are also responsible for complying with the terms of your agreements with your mobile device manufacturer, operating system provider, and telecommunications carrier.

GROGOV MAKES NO WARRANTIES OR REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, REGARDING:

The availability, reliability, or performance of telecommunications services or internet access required to use the Services
Your ability to access or use the Services at any time or from any location
Any loss, damage, delay, or security intrusion related to your mobile device, network, or telecommunications services
Any failure, delay, or error in the transmission of data, communications, or settings associated with the Services
Any unauthorized access to or disclosure of your information resulting from your use of mobile or telecommunications services

GroGov is not responsible for the operation, availability, or security of your mobile device, network, or telecommunications provider.

Fees

GroGov charges fees for use of its Services. All applicable fees will be clearly disclosed to you prior to completing any transaction or submission. By proceeding with a transaction, you expressly authorize GroGov to charge the disclosed fees to your selected payment method.

Fees may be flat, percentage-based, or a combination.
All Fees are non-refundable, except where required by law.
Fees are separate from government obligations.
Government refunds or rejected filings do not guarantee a refund of GroGov fees

GroGov may use commercially reasonable efforts to provide alerts and notifications in a timely and accurate manner; however, we do not guarantee the delivery, timeliness, accuracy, or completeness of any alert or notification.

GroGov shall not be liable for:

Any delay or failure in delivering alerts or notifications
Misdirected or undelivered messages
Errors or omissions in the content of any alert
Any actions taken or not taken by you or any third party in reliance on an alert

Alerts and notifications may be delivered to the email address or mobile number you provide in connection with your use of the Services. You are solely responsible for ensuring that your contact information, including your email address and mobile number, is accurate and up to date. GroGov is not responsible for any issues resulting from outdated or incorrect contact information. You may elect to receive alerts via email and/or SMS (text message), where supported. Updates to your contact information will apply to all alerts and notifications associated with your account.

Rights You Grant to GroGov

By submitting or providing any information, data, credentials (including usernames, passwords, PINs, or other login information), materials, or other content through the Platform (collectively, “User Content”), you grant GroGov a limited, non-exclusive, royalty-free license to use, store, process, and transmit such User Content solely as necessary to provide and operate the Services in accordance with these Terms.

You represent and warrant that:

You have the legal right and authority to provide such User Content
Your submission of User Content does not violate any law, agreement, or third-party rights
GroGov’s use of such User Content as contemplated herein will not require payment of any fees or subject GroGov to any restrictions beyond those set forth in these Terms

Where applicable, you expressly authorize GroGov to access information maintained by third parties on your behalf (“Account Information”), including through integrations or connections with government systems, financial institutions, or other service providers.

For the limited purpose of providing the Services, you grant GroGov a limited power of attorney and appoint GroGov as your agent to access, retrieve, and use such Account Information as necessary to deliver the Services. This authorization permits GroGov to take actions on your behalf that you could take yourself in accessing such information.

YOU ACKNOWLEDGE AND AGREE THAT WHEN GROGOV ACCESSES OR RETRIEVES ACCOUNT INFORMATION FROM THIRD-PARTY SYSTEMS, GROGOV IS ACTING SOLELY AS YOUR AGENT AND NOT AS THE AGENT OF ANY GOVERNMENT AGENCY, FINANCIAL INSTITUTION, OR OTHER THIRD PARTY.

You further acknowledge that:

The Services are not sponsored, endorsed, or controlled by any third party whose systems may be accessed
GroGov is not responsible for the accuracy or completeness of third-party data
GroGov is not liable for errors in payment processing, data retrieval, or other service-related issues resulting from inaccurate or incomplete information you provide

User Conduct and Prohibited Activities

You agree that you will not, and will not permit any third party to:

Violate any applicable laws, regulations, or governmental requirements in connection with your use of the Platform
Provide false, inaccurate, misleading, or incomplete information, including in connection with payments, filings, or account registration
Submit fraudulent, unauthorized, or misleading transactions, documents, or filings
Use any payment method that you are not legally authorized to use
Interfere with, disrupt, or attempt to compromise the security, integrity, or performance of the Platform, including through the use of malware, viruses, hacking, or other harmful activities
Attempt to gain unauthorized access to any portion of the Platform, related systems, or data
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying structure of the Platform
Use the Platform in a manner that could harm GroGov, its partners, government agencies, or other users
Use any robot, spider, scraper, crawler, deep-linking tool, or other automated means (including any program, algorithm, or methodology) to access, acquire, copy, monitor, or extract data from the Platform or any portion of the Services without GroGov’s prior written consent, which may be withheld at GroGov’s sole discretion
Use or attempt to use any engine, software, tool, agent, or other mechanism (including browsers, bots, avatars, or intelligent agents) to navigate, search, or interact with the Platform other than standard, generally available web browsers or authorized interfaces provided by GroGov
Introduce, post, transmit, or otherwise make available any content or code that contains malware, viruses, worms, Trojan horses, or any other harmful or disruptive components that may damage, interfere with, or disrupt the operation of the Platform or Services
Attempt to gain unauthorized access to any portion of the Platform, systems, networks, or data, including through hacking, password mining, or any other means
Attempt to decipher, decompile, disassemble, reverse engineer, or otherwise derive the source code or underlying structure of any software comprising or used in connection with the Services
Interfere with or disrupt the integrity, performance, or functionality of the Platform or any related systems or networks

GroGov Intellectual Property Rights

The content and materials available through the Platform, including its “look and feel” (such as text, graphics, images, logos, button icons, photographs, editorial content, software, and other materials), are protected by United States and applicable international copyright, trademark, and other intellectual property laws.

All such content is owned by or licensed to GroGov or its licensors, software providers, and content suppliers.

Subject to your compliance with these Terms, GroGov grants you a limited, non-exclusive, non-transferable, and revocable right to access and use the Platform solely for your personal, internal, and lawful use in connection with the Services.

You may download or print a copy of content from the Platform for your personal, non-commercial use only. Any other use, including the reproduction, distribution, modification, display, transmission, or creation of derivative works from any part of the Platform, in whole or in part, is strictly prohibited without GroGov’s prior written consent.

You agree not to, and not to permit any third party to:

Copy, reproduce, or distribute Platform content for commercial purposes
Modify or create derivative works based on the Platform or its content
Reverse engineer, decompile, or attempt to extract source code
Use any trademarks, logos, or branding of GroGov without authorization
Use the Platform or its content in any manner that violates applicable law or these Terms

All rights not expressly granted in these Terms are reserved by GroGov.

Disclaimer of Representations and Warranties

THE PLATFORM, SERVICES, AND ALL INFORMATION, DATA, FEATURES, CONTENT, AND RELATED PRODUCTS OR SERVICES PROVIDED BY OR THROUGH GROGOV (WHETHER OR NOT SPONSORED) ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GROGOV, ITS AFFILIATES, AND ITS THIRD-PARTY SERVICE PROVIDERS, LICENSORS, AND SUPPLIERS (COLLECTIVELY, “PROVIDERS”) MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, REGARDING THE PLATFORM OR SERVICES.

YOU EXPRESSLY AGREE THAT YOUR USE OF THE PLATFORM AND SERVICES IS AT YOUR SOLE RISK.

WITHOUT LIMITING THE FOREGOING, GROGOV AND ITS PROVIDERS DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

WARRANTIES OF MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OR DATA
AVAILABILITY, SECURITY, OR UNINTERRUPTED OPERATION OF THE PLATFORM

GROGOV DOES NOT WARRANT THAT:

THE PLATFORM OR SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
ANY INFORMATION OBTAINED THROUGH THE PLATFORM WILL BE ACCURATE, COMPLETE, OR CURRENT
DEFECTS OR ERRORS WILL BE CORRECTED

GROGOV DOES NOT WARRANT OR GUARANTEE THAT THE PLATFORM OR ANY CONTENT AVAILABLE THROUGH THE SERVICES WILL BE FREE FROM MALWARE, VIRUSES, OR OTHER HARMFUL COMPONENTS, OR THAT YOUR USE OF THE PLATFORM WILL NOT RESULT IN DAMAGE TO YOUR SYSTEMS OR DATA.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATIONS OF LIABILITY. IN SUCH JURISDICTIONS, THE ABOVE DISCLAIMERS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GROGOV, ITS AFFILIATES, AND ITS THIRD-PARTY SERVICE PROVIDERS, LICENSORS, AND SUPPLIERS SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

THIS INCLUDES, WITHOUT LIMITATION:

LOSS OF PROFITS, REVENUE, OR BUSINESS
LOSS OF DATA OR INFORMATION
BUSINESS INTERRUPTION
COST OF SUBSTITUTE SERVICES

ARISING OUT OF OR RELATED TO:

YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE PLATFORM OR SERVICES
ANY TRANSACTION, PAYMENT, OR FILING PROCESSED THROUGH THE PLATFORM
ANY DATA OR INFORMATION PROVIDED BY YOU, A GOVERNMENT AGENCY, OR ANY THIRD PARTY
THESE TERMS OR ANY RELATED AGREEMENT

EVEN IF GROGOV HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY, GROGOV’S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF:

(A) THE TOTAL AMOUNT OF FEES YOU PAID TO GROGOV IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
(B) FIVE HUNDRED U.S. DOLLARS ($500.00)

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, GROGOV’S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Indemnification

You agree to defend, indemnify, and hold harmless GroGov, its affiliates, and their respective officers, directors, managers, members, employees, agents, licensors, and service providers from and against any and all claims, demands, actions, suits, proceedings, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees and costs), whether arising in contract, tort, or otherwise, that arise out of or relate to:

Your access to or use of the Platform or Services
Your breach or violation of these Terms of Use
Your violation of any applicable law, regulation, or third-party rights
Any information, data, or content you submit, transmit, or make available through the Platform
Any transaction, payment, or filing initiated by you through the Platform
Any dispute between you and a government agency or other third party

GroGov reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate fully with GroGov in asserting any available defenses.

Modifications to Services and Terms

GroGov reserves the right, at any time and from time to time, to modify, update, suspend, or discontinue all or any portion of the Platform or Services, either temporarily or permanently, with or without notice, at our sole discretion.

GroGov may also modify the features, functionality, or pricing of the Services, including applicable fees, at any time. Where required by applicable law, we will provide reasonable notice of material changes.

If you do not agree to any changes to the Services, you must discontinue your use of the Platform. Your continued use of the Services after any changes become effective constitutes your acceptance of those changes.

GroGov shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

Third-Party Services

The Platform may link to third-party services (including government systems). GroGov is not responsible for:

Their content
Their policies
Their availability

Use is at your own risk. You must comply with any applicable third-party terms of use.

Governing Law & Dispute Resolution

These Terms of Use and any dispute, claim, or controversy arising out of or relating to the Platform or Services shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. YOU AND GROGOV AGREE THAT ANY DISPUTE OR CLAIM RELATING IN ANY WAY TO THE PLATFORM, SERVICES, OR THESE TERMS SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION, AND NOT IN COURT, EXCEPT THAT YOU MAY ASSERT CLAIMS IN SMALL CLAIMS COURT IF THEY QUALIFY. This arbitration agreement shall be governed by the Federal Arbitration Act. Arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its applicable rules and conducted by a single arbitrator in Tampa, Florida, unless otherwise mutually agreed. You may elect to have the arbitration conducted in person, by telephone, or based on written submissions. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. NOTWITHSTANDING THE FOREGOING, EITHER PARTY MAY SEEK INJUNCTIVE OR OTHER EQUITABLE RELIEF IN ANY COURT OF COMPETENT JURISDICTION, INCLUDING COURTS LOCATED IN TAMPA, FLORIDA. YOU AND GROGOV AGREE THAT ALL DISPUTES SHALL BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING, AND YOU EXPRESSLY WAIVE ANY RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION. Payment of arbitration filing, administrative, and arbitrator fees shall be governed by the AAA’s rules, and GroGov will consider requests to cover such costs where required by applicable law. This section shall survive any expiration, termination, or cancellation of these Terms or your use of the Services.

Severability

If any provision is invalid, the rest remain in effect.
